Terms of service

1. Parties

These terms are entered into between Heritage Hospitality Systems Ltd ("Rezlynx", "we", "us"), a private limited company incorporated in England and Wales on 11 October 2016 under company number 14872365, VAT GB 429 7183 62, registered office at 12 Broad Street, Chipping Norton, Oxfordshire OX7 5AN, United Kingdom, and the customer identified on the applicable order form or self-service checkout ("Customer", "you").

2. Subject of the agreement

Rezlynx grants the Customer a non-exclusive, non-transferable right to use the Rezlynx PMS software modules purchased on the applicable order form, together with support in accordance with clause 7 below, in exchange for the fees set out in clause 6.

3. Provision of the service

The service is provided as software-as-a-service, accessible over the public internet in accordance with the Electronic Commerce (EC Directive) Regulations 2002. Rezlynx is responsible for hosting, maintenance and reasonable availability of the platform. Availability target is 99.5% measured monthly, excluding planned maintenance notified at least 48 hours in advance.

4. Customer obligations

The Customer will use the service only for lawful hospitality operations, will keep account credentials confidential, will not attempt to reverse-engineer the software, and will comply with the UK GDPR and the Data Protection Act 2018 with respect to guest data processed through the platform.

5. Data protection

With respect to personal data of hotel guests processed through the platform, the Customer acts as data controller and Rezlynx acts as data processor within the meaning of the UK GDPR and the Data Protection Act 2018. A separate data processing agreement is available on request and forms part of these terms where signed. Rezlynx is registered with the Information Commissioner's Office under reference ZA987134.

6. Fees and payment

Subscription fees are invoiced monthly in advance in GBP and are exclusive of UK VAT, which is added at the prevailing rate. Payment terms are 14 days from invoice date. Late payment attracts interest under the Late Payment of Commercial Debts (Interest) Act 1998 at 8% above the Bank of England base rate. One-off setup fees are invoiced on order.

7. Support

Support is provided in English, by email and telephone, Monday to Friday 09:00–17:00 GMT/BST from our Chipping Norton office. Critical incidents (defined as loss of front-desk functionality on a live property) are handled 24/7.

8. Term and termination

The agreement runs for an initial term of 12 months from activation and renews monthly thereafter. Either party may terminate on 30 days written notice after the initial term. Rezlynx may terminate immediately on material breach not cured within 14 days of written notice.

9. Warranties and liability

Rezlynx warrants that the service will substantially conform to its published documentation. Where the Customer contracts outside their trade, business, craft or profession, statutory rights under the Consumer Rights Act 2015 are unaffected. To the extent permitted by law, Rezlynx's total liability is capped at fees paid by the Customer in the twelve months preceding the claim. Rezlynx is not liable for indirect or consequential loss.

10. Governing law

These terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the Courts of England and Wales, save that either party may seek injunctive relief in any competent court.
